Pluto — Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”) and Pluto Tech LLC, a Delaware limited liability company (“Pluto,” “we,” “our,” or “us”). By accessing or using the Pluto mobile application, website, software, or any related content or services (collectively, the “Services”), you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must discontinue use of the Services immediately.

1. Nature of Services & Disclaimers

Pluto provides a software-only, self-custodial interface that enables users to view information about digital assets and submit on-chain swap instructions through third-party decentralized blockchain protocols. Pluto is not a broker, financial institution, exchange, custodian, investment advisor, portfolio manager, intermediary, or financial consultant.

PLUTO IS NOT A BROKER, FINANCIAL INSTITUTION, FINANCIAL ADVISOR, INVESTMENT ADVISOR, OR INTERMEDIARY AND IS IN NO WAY YOUR AGENT, ADVISOR, OR CUSTODIAN. PLUTO CANNOT INITIATE A TRANSFER OF ANY OF YOUR CRYPTOCURRENCY OR DIGITAL ASSETS OR OTHERWISE ACCESS YOUR DIGITAL ASSETS. PLUTO HAS NO FIDUCIARY RELATIONSHIP OR OBLIGATION TO YOU REGARDING ANY DECISIONS OR ACTIVITIES THAT YOU EFFECT IN CONNECTION WITH YOUR USE OF THE SERVICES. WE DO NOT HOST, MAINTAIN, OR PROVIDE SERVICES FOR ANY MEMECOIN PROJECTS, THIRD-PARTY PROTOCOLS, OR BLOCKCHAINS, DO NOT PARTICIPATE IN TRANSACTIONS ON SUCH PLATFORMS, AND DO NOT RECOMMEND OR ENDORSE THEM OR TAKE ANY POSITION ON YOUR USE OF THESE SERVICES.

2. Eligibility

You must be at least 18 years old, possess the legal capacity to enter into binding agreements, and not be restricted by sanctions or laws prohibiting access to digital assets in your jurisdiction. Pluto does not knowingly permit access or use by individuals who are sanctioned or otherwise restricted under applicable law.

3. Self-Custodial Interface

Pluto is a fully self-custodial wallet interface. You are solely responsible for the security and management of your wallet, private keys, seed phrases, and devices. Pluto does not store, possess, hold, recover, access, or manage private keys or digital assets in any manner. If you lose access to your private keys, your digital assets may be permanently unrecoverable, and Pluto cannot assist in their recovery.

4. Third-Party Services

The Services rely on a number of third-party blockchain protocols, decentralized exchanges, liquidity routers, indexers, RPC nodes, price data providers, and other external technologies (“Third-Party Services”). Pluto does not own or control Third-Party Services, makes no guarantees regarding their performance, reliability, uptime, pricing, security, or availability, and is not responsible for any losses, delays, inaccuracies, hacks, exploits, or failures arising from or connected to such services. Your use of Third-Party Services is entirely at your own risk.

5. No Financial Advice

All information provided through Pluto, including token charts, price feeds, analytics, trending lists, market activity data, commentary, or any other content, is strictly for informational and entertainment purposes. Nothing contained in the Services constitutes financial, investment, legal, tax, or trading advice. Pluto does not evaluate the suitability of transactions for you, does not recommend any digital asset, and does not advise you to buy, sell, or hold any asset. You alone are responsible for your decisions.

6. Fees

Pluto may charge certain platform or network-related fees necessary to maintain infrastructure and cover blockchain-related costs. Actual fees may vary depending on network congestion, routing conditions, gas costs, and underlying protocol fees. Any fee estimate displayed in the Services is not a guarantee of the final transaction cost.

7. Assumption of Risk

Using digital assets and decentralized protocols carries significant risk. You acknowledge that the use of the Services may expose you to extreme price volatility, smart contract vulnerabilities, blockchain network failures, MEV attacks, gas fee spikes, incorrect routing, failed transactions, wallet compromise, loss of private keys, permanent loss of assets, and delays or inaccuracies in displayed pricing. You accept and assume all risks related to your use of the Services.

8. User Conduct

You agree to use the Services only in compliance with all applicable laws and regulations, to secure your wallet and devices, and to refrain from engaging in activities such as fraud, money laundering, sanctions evasion, terrorist financing, market manipulation, exploitative trading, or any unlawful or abusive conduct. Pluto reserves the right to suspend, restrict, or terminate access to the Services at any time, with or without notice, including where required by law or necessary for platform integrity.

9. Disclaimer of Warranties

To the fullest extent permitted by law, Pluto disclaims all warranties of any kind, whether express or implied. The Services are provided on an “as is” and “as available” basis without any warranty regarding reliability, availability, accuracy, compatibility, performance, or security. Pluto does not guarantee execution, confirmation, or finality of any on-chain transaction.

10. Limitation of Liability

To the maximum extent allowed by law, Pluto shall not be liable for any indirect, incidental, special, punitive, consequential, or exemplary damages, including loss of assets, profits, revenue, data, opportunities, or goodwill. Pluto is not responsible for damages arising from reliance on information provided through the Services, failures of Third-Party Services, smart contract exploits, or blockchain malfunctions. Pluto’s total aggregate liability for any claim arising out of or related to the Services shall not exceed USD $100, and your sole remedy for dissatisfaction with the Services is to discontinue use.

11. Indemnification

You agree to indemnify and hold harmless Pluto, its officers, employees, contractors, and affiliates from all claims, liabilities, damages, losses, and expenses (including attorney fees) arising from your use of the Services, your violation of these Terms, or your violation of applicable laws or regulations.

12. Dispute Resolution

All disputes or claims arising out of or relating to these Terms or the Services shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (“AAA”) under its rules, and conducted in the State of Delaware. You waive any right to participate in class actions, class arbitration, or representative litigation, and agree that only individual claims may be brought.

13. Governing Law & Modifications

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict-of-law principles. Pluto may modify or update these Terms at any time, and any changes will be posted within the Services. Continued use constitutes acceptance of the updated Terms.
